Honeoye Storage Corporation Organization and Job Descriptions

Honeoye is organized as a single business unit. The job titles and descriptions, and chain of command for all officers and directors of Honeoye are as follows:

  1. Board of directors

    1. There presently are 5 members of Honeoye's Board of Directors. Three directorships are unfilled. The shareholders of Honeoye may elect a Chairman of the Board and a Vice Chairman of the Board of Directors. Presently the shareholders have chosen not to elect either a Chairman or Vice Chairman of the Board of Directors. Decisions of the company are made by vote of the shareholders, not a vote of the Board of Directors. There are no specific duties assigned to the members of the Board of Directors, there are no Committees of the Board of Directors. Of the five Honeoye directors only one, the company's President, David A.T. Donohue, is involved in day to day decisions.

  2. Company Officers

    1. There are five officers of Honeoye Storage Corporation elected by vote of the shareholders. The titles, a description of their duties and their role in transmission and storage are listed below:

      1. President; David A. T. Donohue. Subject to the supervision of the shareholders he has general management responsibility and is in charge and control of all of the affairs of the Corporation. The President directly approves all of the Company's storage agreement or delegates that responsibility to the Treasurer.

      2. Secretary - Jacek Makowski. Assistant Secretary - Peter Metzger. The Secretary, and in his absence, the Assistant Secretary keeps all of the minutes of all meetings of shareholders and of the Board of Directors, gives and serves all notices. And attends to such correspondence as may be assigned to him.

      3. Treasurer - Richard A. Norman. Subject to the order and supervision of the shareholders the treasurer has care and custody of the moneys, funds, valuable papers and documents of the corporation and shall deposit all funds of the corporation in a bank or otherwise as designated by the shareholders. He keeps accurate books of account. In addition, in the absence of the President, the Treasurer is responsible for negotiating and executing storage agreements and managing regulatory affairs.

      4. Vice President - Operations; James Smoot. TheVice President of Operations is responsible for the operation of the company's field facilities including planning and supervision of all required maintenance work, coordination of field injections and withdrawals, the conduct of day to day relations with the companies customers and management of field personnel. The Vice President of Operations is involved in transmission and storage operations and planning and manages non-clerical employees involved in transmission and planning.

There are no Honeoye transmission or storage function personnel who are actually employed by an Energy Affiliate.
